Terms of Service

1. Definitions

"Agreement" means these Terms of Service ("Terms").

"Charges" means fees for the Services and other sums payable by you to us, including subscription fees, consumption credits, and applicable taxes.

"Platform" means the TrueFathom web application at app.truefathom.com, the marketing website at truefathom.com, and the API at api.truefathom.com.

"Services" means the maritime risk intelligence services provided through the Platform, including vessel screening, risk scoring, sanctions checking, ownership analytics, portfolio monitoring, compliance certificates, and data exports.

"TrueFathom", "Diamond Dynamics Ltd", or "we" means Diamond Dynamics Ltd, a company registered in England and Wales under company number 15224576 and whose registered address is 220 Devonshire Hill Lane, London N17 7NR.

"You" means the individual or organisation that registers for and uses the Services.

2. Basis of Agreement

By creating an account or using the Platform, you agree to be bound by these Terms. If you are entering into this Agreement on behalf of an organisation, you represent that you have authority to bind that organisation.

You shall ensure that all information provided to us is true, complete and accurate. If at any time information becomes inaccurate, you shall immediately notify us.

3. Services

TrueFathom provides maritime risk intelligence including:

• Vessel risk scoring (composite 0-100 score with 9 sub-scores)
• Sanctions screening against 24 lists in 22 jurisdictions
• Beneficial ownership analytics (up to 7 layers deep)
• Port State Control inspection records
• ESG and decarbonisation compliance (CII, FuelEU, Poseidon, EU ETS)
• Entity Ratings (AAA-D) for maritime companies
• Compliance screening certificates
• Portfolio monitoring and alerting
• News and intelligence feed with adverse media detection
• REST API, GraphQL, and MCP (Model Context Protocol) access

4. Acceptable Use

You agree NOT to:

• Use the Platform if you are a sanctioned entity or acting on behalf of a sanctioned entity;
• Use the Platform for the purpose of sanctions evasion;
• Redistribute, resell, or sublicense TrueFathom data without prior written consent;
• Attempt to reverse-engineer, scrape, or systematically download data beyond your plan's credit allowance;
• Use the Platform to harass, abuse, or harm others;
• Circumvent rate limits, authentication, or other technical controls;
• Upload malicious content or attempt to compromise the Platform's security.

Violation of these terms may result in immediate account suspension or termination without refund.

5. Charges and Payment

Subscription fees are charged monthly or annually as selected at checkout. Consumption credits (PAYG) are charged per use as described in our pricing. All prices are in GBP unless otherwise stated.

Payments are processed securely via Stripe. You authorise us to charge your selected payment method for all applicable fees.

Invoices are payable within 30 days. Late payments may incur interest at the rate prescribed by the Late Payment of Commercial Debts (Interest) Act 1998.

We reserve the right to adjust pricing with 30 days' written notice. Changes will take effect at the start of your next billing period.

6. Data Accuracy Disclaimer

TrueFathom aggregates data from multiple third-party sources including government registries, classification societies, and public databases. While we take reasonable steps to ensure data quality:

• Risk scores, sanctions screening results, and other outputs are provided for informational purposes and to support your due diligence processes;
• They do not constitute legal, financial, or compliance advice;
• You remain responsible for your own compliance decisions and should verify critical information independently;
• Data freshness varies by source — see our Data Accuracy page for current SLAs.

7. Intellectual Property

All intellectual property rights in the Platform, including risk scoring methodologies, Entity Rating algorithms, data aggregation processes, software, and documentation, are owned by Diamond Dynamics Ltd.

You are granted a limited, non-exclusive, non-transferable licence to use the Platform for your internal business purposes during the term of your subscription.

Data exported from the Platform (PDF reports, XLSX exports, certificates) may be shared with your clients and counterparties in the ordinary course of business. Systematic redistribution or resale of TrueFathom data requires a separate licence.

8. Confidentiality

We will treat information about your vessel portfolios, screening queries, and business activities as confidential. We will not disclose this information to third parties except:

• Where required by law or regulatory obligation;
• To our service providers who need access to deliver the Services (subject to confidentiality obligations);
• In aggregated, anonymised form for platform analytics and improvement.

9. Limitation of Liability

To the maximum extent permitted by law:

• We shall not be liable for any indirect, special, or consequential loss, including loss of business, loss of profit, or loss of anticipated savings;
• Our total aggregate liability for any claims arising from the Services shall not exceed the Charges paid by you in the 12 months preceding the claim, or £100,000, whichever is lower;
• We shall not be liable for any loss arising from your reliance on data, risk scores, or screening results without independent verification;
• Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

10. Termination

You may cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of your current billing period.

We may terminate or suspend your account immediately if:

• You breach these Terms (including the Acceptable Use policy);
• Your organisation becomes insolvent or enters administration;
• We are required to do so by law or regulatory authority.

On termination, you may export your data for 30 days after cancellation. After this period, your data will be deleted in accordance with our Privacy Policy.

11. Force Majeure

Neither party shall be liable for failure or delay in performance due to causes beyond reasonable control, including acts of God, war, terrorism, pandemic, civil unrest, strikes, power failure, or internet outages. If such events continue for more than 90 days, either party may terminate this Agreement.

12. Data Protection

We process your Personal Data in accordance with our Privacy Policy and applicable data protection laws including UK GDPR. By using the Platform, you consent to such processing.

13. Governing Law and Disputes

This Agreement shall be governed by and construed in accordance with the laws of England and Wales.

In the event of any dispute, the parties shall first attempt resolution through mediation administered by CEDR. If mediation fails, the dispute shall be submitted to the exclusive jurisdiction of the English Courts.

14. General

This Agreement constitutes the entire agreement between you and TrueFathom. Any changes must be published on this page — continued use of the Platform after changes constitutes acceptance.

If any provision is held to be invalid or unenforceable, the remaining provisions shall continue in full force.

You may not assign or transfer rights under this Agreement without our prior written consent.

No failure or delay in exercising any right shall constitute a waiver of that right.
